Qualified Client Notice

Certain capital management services offered by Wrice Financial Group are available only to individuals and entities that qualify as “Accredited Investors,” as defined under Rule 501 of Regulation D of the U.S. Securities Act of 1933, or otherwise meet applicable regulatory requirements.

Capital management services are provided on a discretionary or advisory basis pursuant to written agreements and may not be suitable for all clients. Eligibility is determined based on regulatory status, financial circumstances, and other relevant considerations.

Individuals or entities that may qualify as Accredited Investors generally include:

  • Individuals with income exceeding $200,000 (or $300,000 jointly with a spouse or spousal equivalent) in each of the two most recent years and a reasonable expectation of reaching the same income level in the current year;
  • Individuals or entities with a net worth exceeding $1 million, excluding the value of a primary residence;
  • Entities such as banks, partnerships, corporations, nonprofits, or trusts with total assets in excess of $5 million;
  • Entities in which all equity owners are Accredited Investors.

Capital management services may involve the use of derivatives or other complex financial instruments and carry a high degree of risk, including the potential loss of a substantial portion or all capital committed. Prospective clients should conduct their own due diligence and consult with legal, tax, and financial advisors before entering into any advisory or capital management engagement.
